The rules, in plain words.

About these terms

These terms are between you and Specvista ("Specvista", "we", "us"). They cover the Assent website at assent.specvista.com, the Assent iOS app and the Assent API (together, "Assent").

By creating an account or using Assent you agree to these terms and to our Privacy Policy. If you do not agree, do not use Assent.

1. What Assent is

1.1 Assent lets AI agents and scripts you connect ("your agents") send you requests, such as asking for approval before they act. You approve or deny each request. Assent also keeps your personal tasks, notes and plans.

1.2 Assent passes requests and answers between you and your agents. It does not run, control, supervise or check your agents, and it does not carry out the actions your agents ask about. Your agents do that, on your systems or on services you have chosen.

2. Invite-only beta

2.1 Assent is in an invite-only beta. You can only join with an invite, or through another route we open.

2.2 During the beta, features may change, be limited or be removed, sometimes without notice. Assent may be slow, unavailable or have errors. We do not promise any level of availability or response time, and we do not promise that a request will reach you, or that your answer will reach your agent, within any particular time.

2.3 Assent is free during the beta.

2.4 Do not use Assent as the only safeguard for anything where a missed, late or wrong answer could cause serious harm, such as moving money, safety-critical systems or deleting data you cannot recover. Build your own checks into your agents as well.

3. Your account

3.1 You must be 18 or over to use Assent.

3.2 Give accurate details and keep them up to date. You can sign in with email and password, or with Apple or Google.

3.3 Keep your password, agent keys, computer pairing codes and setup links secret. Anyone who has them can act as you or as your agent. Tell us straight away if you think they have been misused, and revoke the affected key or computer in Assent.

3.4 You are responsible for everything done through your account and your agent keys, including by anyone you let use them.

5. Acceptable use

You must not use Assent, or let your agents use it, to:

• commit, automate or help with fraud, scams, phishing or identity theft
• send spam or unsolicited bulk messages, or run fake accounts, fake reviews or fake engagement
• harass, threaten, stalk or abuse anyone
• break the law, or infringe anyone's privacy, intellectual property or other rights
• get into systems, accounts or data you are not allowed to access, or help anyone else do so
• store or share illegal content, malware or anything designed to cause harm
• get round limits we set, including attachment, rate and invite limits, or overload or disrupt Assent
• probe, scan or test the security of Assent without our written permission (report security issues to hello@specvista.com)
• copy, resell or rebuild Assent, or access it in ways other than the app, the website or the documented API
• share an invite or an account in a way that lets someone avoid these terms

If an agent you connect breaks these rules, we treat it as you breaking them.

6. Your content

6.1 You keep ownership of everything you put into Assent, and everything your agents send to it, including notes, tasks, plans, comments and attachments ("your content").

6.2 You give us permission to store, process, copy and display your content only as needed to run Assent for you, keep it secure and fix problems. This permission ends when your content is deleted, apart from copies that remain in backups until they expire (see the Privacy Policy).

6.3 If you share a note with someone else or by a public link, anyone with access can see it, and can edit it if you allowed that. You can revoke a share at any time.

6.4 You are responsible for your content and for having the right to put it into Assent.

7. Other services

Assent works with services we do not control, such as Apple, Google (for sign-in and, if you connect it, Google Calendar) and the AI tools your agents use. Their own terms and privacy policies apply to your use of them. We are not responsible for them.

8. Our responsibility to you

8.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit or exclude. If you use Assent as a consumer, your statutory rights are not affected.

8.2 Subject to 8.1, we are not responsible for:

• anything your agents do or fail to do, including actions they take after you approve a request, actions they take without asking, and actions they take despite a denial or an expired request
• the results of any answer you give, or any standing rule you set or accept
• a request or answer that is delayed, not delivered or shown incorrectly, or a notification you did not receive
• loss of data, profit, revenue, business or opportunity
• loss or damage that was not foreseeable when you agreed to these terms

8.3 Subject to 8.1, our total liability to you for all claims in any 12 months is limited to the greater of £100 and what you paid us for Assent in those 12 months.

8.4 If you use Assent for a business, you agree to cover our reasonable losses and costs from claims by others caused by your agents, your content or your breach of these terms.

9. Suspension and closing accounts

9.1 You can delete your account at any time in Settings, on the web or in the iOS app. Deletion removes your account and everything linked to it, as the Privacy Policy describes. Agents using your keys stop working straight away.

9.2 We may suspend or close your account, revoke agent keys or remove content, with or without notice, if we reasonably believe that you or your agents broke these terms or the law, put Assent or other people at risk, or if we must do so by law. Where it is safe and lawful, we will tell you why and give you a chance to respond.

9.3 We may end the beta or close Assent. If we do, we will try to give you at least 30 days' notice so you can download your data, unless we cannot for legal, security or safety reasons.

9.4 Sections 4, 6.4, 8 and 10 continue after your account closes.

10. General

10.1 We may change these terms. We will tell you about important changes before they take effect, by email or in Assent. If you keep using Assent after a change takes effect, the new terms apply. If you do not agree, delete your account.

10.2 These terms are the whole agreement between you and us about Assent. If a court finds part of them unenforceable, the rest still applies. If we do not enforce a right straight away, we can still enforce it later.

10.3 You may not transfer your rights under these terms. We may transfer ours to another business that takes over Assent, and will tell you if we do.

10.4 These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you live in Scotland or Northern Ireland as a consumer, you can also bring proceedings in your local courts.
